Subject to the terms and conditions of this Agreement, CodForm hereby grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the Services during the Term solely for your internal business operations by Authorized Users in accordance with the terms and conditions herein. "Authorized User" means Customer and Customer's employees, consultants, and contractors (i) who are authorized by Customer to access and use the Services under the rights granted to Customer pursuant to this Agreement and (ii) for whom access to the Services has been purchased hereunder.
You shall not, and shall not permit any Authorized Users to, use the Services for any purposes beyond the scope of the access granted in this Agreement. You shall not at any time, directly or indirectly, and shall not permit any Authorized Users to:
Notwithstanding anything to the contrary in this Agreement, CodForm may monitor Customer's use of the Services and collect and compile data and information related to Customer's use of the Services to be used by CodForm in an aggregated and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services ("Aggregated Statistics"). As between CodForm and Customer, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by CodForm.
CodForm reserves all rights not expressly granted to Customer in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the CodForm IP.
Notwithstanding anything to the contrary in this Agreement, CodForm may temporarily suspend Customer's and any other Authorized User's access to any portion or all of the Services if certain conditions are met, such as a threat to CodForm IP, fraudulent activities, or legal prohibitions. CodForm shall use commercially reasonable efforts to provide written notice of any Service Suspension.
"Customer Data" is information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of Customer or any other Authorized User through the Services (e.g., reviews, mentions, and other contributions). You are solely responsible for your Customer Data.
The following terms constitute our "Acceptable Use Policy":
Enforcement: We reserve the right to review Customer Data and take action, including removing data or terminating accounts, if you violate the Acceptable Use Policy.
CodForm may disclose Confidential Information to you, which you shall not disclose except to authorized personnel with a need to know, and only as required by law with notice to CodForm.
CodForm complies with its Privacy Policy in providing the Services. By using the Services, you acknowledge and accept our Privacy Policy.
We own all intellectual property rights in the Services, and you own all rights in Customer Data. Feedback you provide is non-confidential and may be used by CodForm without restriction.
The Services are provided "AS IS" without warranties. CodForm is not responsible for user contributions or third-party content accuracy.
Customer shall indemnify CodForm against claims arising from Customer Data or misuse of the Services.
CodForm’s liability is limited to the total amounts paid by Customer in the 12 months preceding a claim, excluding consequential or punitive damages.
You may terminate your use of the Services at any time by emailing support@codform.com. We may suspend or terminate your access for violations, with no liability for data deletion.
We may modify this Agreement, effective upon posting at https://stories.codform.com/terms-of-service. Continued use constitutes acceptance.
This Agreement is governed by Singapore law, with disputes resolved by arbitration at the Singapore International Arbitration Centre.
This Agreement is the entire agreement between the parties. Notices must be sent to CodForm via certified mail or courier. Electronic communications satisfy legal requirements.
